6- ORDERS

There is no minimum order, neither by quantity nor by number. The customer is free to choose his order with the desired quality and number and without limit. The customer has the right to purchase different types of products with the desired quality and quantity.

Ishrili allows customers to easily place their orders through the Ishrili website or request a specific product. Ishrili undertakes to place all customer orders with its suppliers all over the world. Then, subject to validation of the request by Ishrili and after receipt of the total amount, Ishrili entrusts the package to the partner carrier who will deliver the package to Nouakchott (please visit our Delivery Policy to find out more about the address of delivery).

CLAUSE N° 7: PRE-ORDER (or personal order “Ishrili”)

By submitting your pre-order for a personalized product, Ishrili takes care of searching for your product on the market (product information such as price, size, delivery time etc.) but Ishrili does not guarantee you necessarily find your product on the market. If Ishrili finds your product, you will receive an email informing you that your product is available and that you can purchase it via the Ishrili website.

8- PAYMENT

To facilitate your purchases and for the security of your payments, Ishrili offers you to pay for your purchases by national currency (Ouguiya) via the Bankily app. The customer buyer must provide a proof of payment to the seller. Without this proof, the order cannot be validated.

Ishrili is not responsible in this payment process between the buyer and the seller.  

9- PROCESSING OF ORDERS

Order processing times are separate from shipping times.

Orders are processed within 1 to 3 working days (excluding weekends and public holidays) after receipt of the order.

Upon receipt of the order and subject to receipt of full payment for this order, Ishrili sends an email notification to the customer to confirm receipt of the order. Ishrili will then verify and validate the order (including validation of receipt of payment) and the customer (the buyer) will receive by email confirmation, or not, of their order with the invoice and details.

After your order has been shipped, we will email you when your order is ready, along with instructions.

10- LATE PAYMENT

In the event of delay or non-total or partial payment of orders by the customer, Ishrili grants itself the right to cancel these orders.

11- RESOLUTORY CLAUSE

If within three (3) days following the implementation of the "Late payment" clause, the buyer (the customer) has not paid the sums due, the sale will be automatically canceled and may open right to the allocation of damages for the benefit of Ishrili.

12- RESERVATION OF OWNERSHIP

Ishrili does not retain ownership of the products offered or sold on the Ishrili website and on the mobile App ishrili. Ishrili positions itself just as the intermediary between the sellers and buyers of the products in order to facilitate and organize the relationship between the two parties. If the buyer is subject to receivership or liquidation, Ishrili reserves the right to claim, as part of the collective procedure with its supplier, the goods sold and remaining unpaid.

13- LIMITATION OF LIABILITY

The responsibility of Ishrili, as well as its entire team, is limited to its position as an intermediary between buyers and sellers of products with the aim of facilitating their relationship. Our CEOs, our shareholders, our founders, our owners, our directors, our officers, our managers, our allies, our associates, our executives, our employees, our affiliates, our ambassadors, our partners, our agents, our contractors, our trainees, our apprentices, our suppliers, our advisors, our consultants, our service providers, our subcontractors, our licensors or any other natural or legal person who has a relationship or connection with Ishrili, cannot under any circumstances be held liable liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special or consequential damages, including but not limited to loss of your purchases, theft of your purchases, loss for profits, revenues, savings or data, replacement costs or other similar damages, whether in contract, tort (even in negligence), strict liability or otherwise, arising from your use of the Ishrili service, the website Ishrili, or any service or product using it, or any other claim relating in any way to your use of the Ishrili service, the Ishrili website, or any product, including but not limited to limit, to errors or omissions in any content, or to any loss or damage arising from the use of the Ishrili service, the Ishrili website, or from content (or product) published, transmitted or made accessible through of the Ishrili service, the Ishrili website, even if you have been warned of the possibility of their occurrence.

As such, Ishrili is not responsible for the warranty for hidden defects in the products sold which make them unfit for the use for which they are intended, or which reduce this use to such an extent that the buyer would not have acquired them, or would have given only a lower price. Ishrili is not responsible for non-performance or delay in execution and delivery of packages arising from force majeure. Ishrili is not responsible for non-delivery of packages, late delivery or in the event of lost or stolen packages. Therefore, if any of these cases occurs, the customer does not have the right to request a refund from Ishrili. Ishrili grants itself the right, without being obligated, to contact the supplier or carrier to find a solution.

However, the previous limitation will also apply to the following damages:

- In the event of bodily injury;

- In the event of theft, war or intentional misconduct;

- In the event of non-compliance with the Transport Provider's obligations relating to his professional liability.

14- EXCLUSION OF GUARANTEES OR INSURANCE

Ishrili does not guarantee, warrant or represent, under any circumstances, that your use of our Ishrili Service or our Ishrili website will be uninterrupted, secure, timely or error-free.

Ishrili does not guarantee, warrant or represent, under any circumstances, that your purchase will be completed, error-free or successful.

Ishrili does not guarantee, warrant, or represent, under any circumstances, that your package will be shipped, guaranteed, refunded, or secure.

Ishrili does not guarantee any insurance (including any kind of guarantee or insurance) for your packages or for your purchases. As such, Ishrili advises you to take out guaranteed insurance for your packages and your purchases, so that they are insured in the event of damage, theft, loss or force majeure.

15- TRANSFER OF PROPERTY AND RISKS

The transfer of risk accompanies the transfer of ownership. The transfer of ownership normally takes place upon confirmation of the order (see conclusion of the contract) and subject to receipt of full payment, unless this transfer is subject to the execution of a condition or a term. The buyer immediately becomes the owner of the object of the contract or the object purchased and consequently the risks linked to this object are transferred to his person. It may also be the risk of non-delivery of the goods (a lost package for example) or late delivery; it is the buyer who will bear this risk.

As part of the execution hereof, all parties, whether Ishrili, the customer, the carrier and the supplier, are bound by an obligation of confidentiality. Each party undertakes not to disclose to third parties, directly or indirectly, any document, knowledge, know-how, intelligence and/or information, of which they may have become aware or have access during the execution of this contract, unless said confidential information has fallen into the public domain or its disclosure is made necessary by virtue of a specific regulation or an administrative or judicial injunction. All parties also undertake to require the same obligation of confidentiality from their employees and subcontractors with whom they may work to carry out the actions.

22- COMPETENT COURT

Ishrili is established in Paris, France, as such, any dispute relating to the interpretation and execution of these general conditions of sale is subject to French law.

Failing an amicable resolution, the dispute will be brought before the Paris Commercial Court.

23- APPLICABLE LAW

Our sales policy is subject to French law. This sales policy, as well as any separate agreements whereby we provide you with Ishrili Services, shall be governed by and construed in accordance with the laws of France.

For any reason for disagreement arising from the interpretation and/or execution of this document, the search for an amicable solution will obviously be favored.
